TERMS OF USE AND PRIVACY POLICY

Welcome to http://www.youniti.org (hereinafter referred to as “the Website”).

This document (the “Agreement”) is a contract between you (“you”) and Youniti Center Inc. (“Youniti”) that sets out the conditions associated with the use of the Website.

Youniti is a business corporation duly registered under the Canada Business Corporations Act with its registered office located at 4E-3 Place Ville-Marie, Montréal, Québec H3B-2E3, Canada. Please read all of the terms and conditions carefully before using the Website. By accessing or using the Website, you acknowledge that you are of legal age to enter into this Agreement and that you accept all of the terms and conditions set out herein. If at any time you do not accept or you are unable to accept the provisions of this Agreement, you must discontinue using or accessing the Website.

Protection of personal data

You also agree to read and review the Privacy Policy, which governs the collection, use and transmission of personal data provided by you. The Privacy Policy is available below.


Amendment of the Agreement

Youniti reserves the right to amend this Agreement or any article thereof, in whole or in part, at any time. You agree to review any amendments and accept to be bound by them. In the event of substantial changes to the Agreement, Youniti will, within a reasonable timeframe, inform you of the modifications by publishing a notice outlining the changes on the Website. You are therefore advised to review the Agreement regularly. Any amendments will be effective upon publication of a modification notice by Youniti. In the event of conflict between an amendment and an earlier version of the Agreement, the amended version shall prevail.


Use of the Website and registration

In order to access certain functions of the Website, you are asked to provide your name, telephone number and e-mail address. You agree to provide true, accurate, up-to-date and complete information during the registration process. You also acknowledge that you will not register under another person's name.

If you represent a legal entity (company, organization, etc.), you must provide the name of the legal entity, the name and title of the representative, the representative's e-mail address, the domain name of the company's website (if applicable) and a telephone number.

The e-mail address you provide must be an address associated with your name, and it is solely your responsibility to maintain the confidentiality of your password. You shall bear full and sole responsibility for all activity conducted on your account. Therefore, you must protect your password and make it difficult to guess.


Use of Youniti's services

You agree that you will place your advertisements in the appropriate categories/area, and acknowledge that you will not:

    1. Violate applicable laws or the Policy on Prohibited Products and Services;[hyperlien]
    2. Impersonate another individual or misrepresent your relationship with any person or entity;
    3. Provide false or deceptive information that could mislead the addressed party;
    4. Promote multi-level marketing and/or pyramid schemes to users of the Website;
    5. Access or use areas of the Website or IT systems of Youniti not intended for public use;
    6. Attempt to test, explore or evaluate the vulnerability of the website or an associated system or network, or violate the security or authentication measures used for the Website or an associated system or network;
    7. Attempt to decrypt, decompile, disassemble or reverse engineer the software used to provide the Website;
    8. Use a bot, web crawler or any other electronic means to access the Website and to gather the Website's content for any purpose whatsoever without written permission from Youniti;
    9. Harm or threaten to harm other users in any manner whatsoever, or prevent or attempt to prevent access by a user, host or network by any means, such as a virus, overloading, flooding, spamming or “e-mail bombing”.
    10. Use the Website for purposes that run contrary to its intended use, contravene applicable rules or violate reasonable guidelines set by Youniti;
    11. Publish offensive material.

 

Youniti reserves the right to investigate any violations of the Terms of Use and to take legal action to the fullest extent permitted by law in response to any potential infringement of intellectual property rights or security breach. Youniti may call upon law enforcement authorities and cooperate with them in instituting proceedings against users who have violated this Agreement. You acknowledge that although Youniti is not required to monitor your access to the Website or your use thereof, it reserves the right to do so in the course of the Website’s operation in order to ensure that you adhere to this Agreement, to conform to applicable law and to comply with the rulings or instructions of courts of law, administrative agencies or other public bodies.

Misuse of services. To enable us to ensure the proper functioning of the Website, we ask that you report any problems or offensive content to Youniti's administrators by sending an e-mail to info@youniti.org. We reserve the right to terminate or limit access to our services, remove hosted content and take technical and legal measures to deny access to the Website to users who, in our judgement, pose a problem or have behaved in a manner incompatible with the letter and spirit of our by-laws. Irrespective of whether we decide to deny a user access to the Website, we disclaim all liability for any unauthorized or unlawful use of the Website by its users.

Users who advertise goods or services are responsible for removing their listings once the good or service in question has been sold or exchanged, as the case may be. If the relevant listing is not removed from the Website, it will remain active and the user may receive e-mails concerning the listing until the maximum 45-day period referred to above.


Fees and services

Use of the Youniti platform is free of charge. However, some fees apply depending on the service and options selected by the user.

Part of the fee revenues are donated to charitable organizations.

Youniti also offers paid service plans, with part of the proceeds also donated to charities.

Youniti reserves the right to modify its rates and plans. Users will be notified in the event of changes.

In the event of a price decrease, users who have already been charged for featured listings or a monthly company plan will not be entitled to reimbursements.


Payment methods

Payment is by credit card and is managed via the Stripe online payment system.

Be prepared to pay Canadian taxes applicable to our services. Users are solely responsible for collecting the taxes applicable to the sale of goods and services advertised on the Website.

If taxes cannot be collected due to insufficient funds or an invalid credit card, Youniti reserves the right to temporarily suspend a user's account and listings until the payment is made in full.

Additional fees may be charged for missed payments.


Intellectual property

Youniti is the exclusive owner of all the rights, title and interest in the Website. The Website is protected by copyright, trademark and domestic and foreign laws protecting intellectual property. You agree that you shall not copy, modify, reproduce, publicly display, transmit, sell, create derivative works from or exploit for commercial purposes any elements of the Website in whole or part, that you shall not use elements of the Website or access thereto or distribute the Website’s content for commercial purposes, and that you shall not otherwise use content from the Website or create derivative works or websites. YOUNITIMC is a registered trademark belonging to Youniti. No information or content from the Website shall be interpreted as granting, directly or indirectly, a license to use a trademark, patent or copyright. You may copy, privately display or print paper copies of pages contained on the Website only for your personal, non-commercial use.


Anonymous data collected by the Website

Youniti collects anonymous data related to the use of its Website. Youniti employs technology to determine which pages on its Website have been viewed by its visitors and to compile statistics on users and their use of the Website. This data is collected through an analytics platform (such as Google Analytics), log files and cookies.

Youniti also employs technology to identify how frequently specific hyperlinks are used and to determine which pages of its Website visitors choose to visit.

This anonymous data is collected in a way that ensures Youniti cannot identify individual users.

Youniti displays targeted advertisements on websites owned and/or operated by Youniti and on third-party websites based on the data it anonymously collects when you visit the Website. Advertisements based on personal interests, often referred to as personalized or targeted marketing, are determined on the basis of anonymous information collected about your activity on the Website as well as visits to websites that contain content or advertising by Youniti.

Like all online advertising networks, we use cookies. web beacons (also known as single-pixel GIFs) and similar technologies. Cookies give us information about the advertisements you see, the ads you click on and other actions you perform while visiting the Website. This allows us to offer more useful and relevant advertising content. For example, if we know which advertisements you see, we can avoid showing you the same ones over and over. We do not associate your activity on third-party websites with your identity when we show you advertisements based on your areas of interest.

Advertisers and companies working on their behalf sometimes use technology to send advertisements appearing on the Website directly to your browser. When this occurs, they automatically obtain your IP address. They may also use cookies to measure the effectiveness of their advertising campaigns and personalize advertising content. We have no access or control with regard to cookies or other functionalities that may be used by third-party websites or advertisers.

 

Advertising listings for goods and services

The Website is a platform intended for use by third-party advertisers of goods and services for the purposes of:

    1. offering donations;
    2. bartering (non-monetary exchanges);
    3. selling goods or services with a maximum monetary value of $40;
    4. offering free or volunteer services;
    5. soliciting goods, services, donations or volunteering;
    6. posting advertisements (by companies).

As Youniti's mission is limited to putting users in contact with one another, Youniti offers no goods or services besides the Website as such. You agree not to hold Youniti liable for listings placed by users. With the exception of listings placed explicitly for and in the name of Youniti, Youniti does not endorse any goods or services advertised on the Website.

Prices, characteristics of products or services and any other terms related to exchanges, donations, sales, rentals or offers are subject solely to direct negotiation between third-party advertisers and users. Prices advertised by third parties are entirely outside the discretion of Youniti. Advertisers are solely liable for the information contained in their listings. Youniti assumes no responsibility for information transmitted or posted on the Website. Youniti does not have a means of verifying information posted by advertisers and offers no guarantee pertaining to the accuracy or reliability of postings or of users’ communications related to quality, safety or legality.


Obligations of advertisers

Advertisers wishing to publish a posting must provide a description of the product or service offered and, if the posting concerns a product, a single photograph of the product offered.


Disclaimer of warranties and limitation of liability

To the full extent permitted by applicable law, YOUNITI does not warrant or make any representations regarding the Website OR ANY ASSOCIATED THIRD-PARTY WEBSITE OR ONLINE PAYMENT SERVICE, namely that the Website will meet your needs or be compatible with third-party software or material, that access to the Website will not be interrupted, that the Website will be free of problems or errors, that all errors will be corrected, etc. YOUNITI provides the Website on an “as is” and “AS AVAILABLE” basis.

TO THE FULL EXTENT PERMITTED BY APPLICABLE LAW, ANY WARRANTIES AND REMEDIES BY YOUNITI THAT ARE EXPRESSLY PROVIDED FOR HEREIN HAVE EXCLUSIVE VALUE AND REPLACE ANY OTHER GUARANTEES (EXPRESS OR IMPLIED, DE JURE OR DE FACTO), OBLIGATIONS, DECLARATIONS (VERBAL, WRITTEN OR OTHERWISE), SUCH AS IMPLIED GUARANTEES REGARDING THE QUALITY OF MERCHANDISE, AVAILABILITY, OUTPUT, COMPATIBILITY, SUITABILITY FOR A SPECIFIC PURPOSE, SATISFACTORY QUALITY, CONSISTENCY WITH DESCRIPTIONS OR NON-INFRINGEMENT. ANY SUCH WARRANTIES ARE EXPLICITLY DISCLAIMED.

TO THE FULL EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES SHALL YOUNITI AND/OR ITS SUPPLIERS OR LICENSORS BE HELD LIABLE, WHETHER BASED ON A CONTRACT, INFRINGEMENT (INCLUDING NEGLIGENCE) OR STRICT LIABILITY, FOR ANY INCIDENTAL, INDIRECT, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES WHATSOEVER, FOR THE LOSS OF REVENUE, PROFITS, BUSINESS OR GOODWILL, FOR THE LOSS OR CORRUPTION OF DATA OR UNAUTHORIZED ACCESS TO DATA, FOR THE DISCLOSURE OF INFORMATION OR DATA OR OTHER FINANCIAL LOSSES OR DAMAGES RESULTING FROM THE USE OF THE GOODS AND SERVICES PROVIDED BY USERS OF THE WEBSITE, OR FOR THE USE, EXECUTION, FAILURE OR INTERRUPTION OF THE WEBSITE, FORESEEABLE OR OTHERWISE, EVEN WHEN YOUNITI HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES. IF YOUNITI IS REQUIRED TO PAY DAMAGES TO YOU, YOUNITI'S TOTAL CUMULATIVE OBLIGATION TO YOU UNDER THE TERMS PROVIDED FOR HEREIN SHALL NOT EXCEED $100. THE AFOREMENTIONED LIMITATIONS OF LIABILITY SHALL NOT APPLY IF A REMEDY PROVIDED HEREIN DOES NOT MEET ITS FUNDAMENTAL PURPOSE.

 

Compensation

You agree to compensate Youniti, its officers, directors, group members, employees and representatives for any complaints, obligations, damages, losses or expenses, including reasonable legal and accounting fees, related in any way to your access to or use of the Website.


Termination

Youniti may terminate this Agreement and suspend your access to the Website at any time. Youniti shall provide you with reasonable prior notice of termination except if the termination is due to failure on your part to abide by this Agreement and/or the law.


General provisions

The Agreement is governed by and interpreted in accordance with the laws of the Province of Québec (Canada) and applicable Canadian laws. The parties hereby irrevocably submit to the jurisdiction of the courts of Montréal, province of Québec.

This Agreement constitutes the full agreement between you and Youniti related to the use of and access to the Website. This Agreement replaces any prior agreements regarding the Website between you and Youniti.

This Agreement shall be binding on all parties and their respective successors and assigns. It applies to all these parties and may be executed by any of them. Youniti reserves the right to assign this Agreement to a third party without requesting your consent.

None of the provisions of this Agreement shall be construed to imply the existence of a partnership or joint venture between you and Youniti or involving Youniti or any third party, including but not limited to third-party advertisers.

If any provision of this Agreement is ruled invalid by a competent court, the provision in question shall be considered excluded from this Agreement with no impact on the validity of this Agreement as a whole.

Policy on Prohibited Products and services

Youniti For security and prevention purposes and to ensure that Youniti is and remains a pleasant environment for all users, the sale, donation, request, exchange, loan and offering of certain goods and services is prohibited.

The following products/services are prohibited:

Any goods or services in breach of federal, provincial or municipal laws and regulations

Shares or other financial instruments

Alcohol

* Alcohol delivery is also prohibited

Weapons and munitions

* Including paintball weapons

Combustible materials

Materials that can cause harm or damage to people or property

Stolen or counterfeit goods or goods produced in violation of intellectual property rights

Recalled products

Contests or lottery/gambling materials

Products or services of an obscene, offensive, pornographic or sexual nature

Used cosmetics or beauty products

Drugs or medication

Food including donations (excluding animal feed)

Human organs, body parts/tissues or biological fluids 

Personal identity documents

Products not authorized by Health Canada

Dating or sexual services

Tobacco, electronic cigarettes or related goods

Vehicles without registration documents

Any users who fail to abide by this list of prohibited products and services will be suspended or banned from Youniti's Website.

Youniti reserves the right to amend and improve the list of prohibited products and services at any time.
